Hi-Tech Pharmacal Acquires Rights to TussiCaps® Extended-Release Capsules to be Promoted by their ECR Pharmaceuticals Subsidiary |

AMITYVILLE, N.Y., August 25, 2011 - Hi-Tech Pharmacal Co., Inc. (NASDAQ: HITK), a specialty pharmaceuticals company, today announced it has acquired the marketing and distribution rights for TussiCaps® (hydrocodone polistirex and chlorpheniramine polistirex) extended-release capsules from Mallinckrodt LLC. The product is indicated for the treatment of cough and upper respiratory symptoms associated with allergy or a cold in adults and children 6 years of age and older. The product is available in 10mg/8mg and 5mg/4mg formulations. TussiCaps® is the only FDA approved extended-release prescription cough/cold capsule product on the market. Reuben Seltzer, Vice Chairman of Hi-Tech Pharmacal said, "We believe TussiCaps® is an excellent fit for ECR Pharmaceuticals based on our focus on primary care physicians in the cough/cold area. The 12-hour release and capsule dosage form provide accurate and convenient dosing for adult and pediatric patients." The Company paid $11.6 million in cash, and depending on the competitive landscape and sales performance, may make payments of up to $12.5 million more over the next four years. The purchase price includes certain intellectual property and inventory on hand. The brand had sales of $9.4 million for the 12-month period ended June 2011 according to IMS. TussiCaps® is covered by a patent which will not expire until May 2025. David Seltzer, Hi-Tech's President and CEO said, "The Company will continue to leverage our strong balance sheet to expand all three business segments in which we compete--prescription generics, branded prescription products and OTC brands."
ECR Pharmaceuticals will start training sales representatives immediately and will begin to promote TussiCaps® in September 2011.
TussiCaps® will continue to be manufactured by Mallinckrodt, ensuring that physicians and patients will continue to receive the quality product they have come to expect.

Hi-Tech Pharmacal Acquires Rights to Branded Products
to be Promoted by their ECR Pharmaceuticals Subsidiary

Hi-Tech
Pharmacal Co., Inc. (NASDAQ: HITK), a specialty pharmaceuticals
company, announced today that they acquired marketing and
distribution rights to several unique branded products for
the treatment of pain from Atley Pharmaceuticals. Some products
are approved and some are pending approval with the Food and
Drug Administration (FDA). The Company paid $3.6 million in
cash for rights to the products and inventory. Hi-Tech will
pay royalties for certain of these products under a license
agreement it has assumed.
David Seltzer, Hi-Tech's President
and CEO said, "We are pleased to add these branded prescription
products to our product portfolio. We believe the acquisition
of these products creates an excellent synergy with ECR's
current product line, and provides additional therapeutic
options to help primary care physicians and their patients
address problems with pain."
The Company believes that
this acquisition will begin to generate revenue in the very
near term, and will be accretive to earnings and cash flow
positive within the first 12 months.
ECR Pharmaceuticals will begin
training sales representatives to promote the newly acquired
products immediately.

Pharmaceuticals Launches Zolpimist Oral Spray |

ECR Pharmaceuticals Co., Inc.,
a subsidiary of Hi-Tech Pharmacal Co., Inc. (NASDAQ:
HITK) announced the immediate availability of Zolpimist
Oral Spray, a novel delivery system of the most widely
prescribed sleep aid in the US, zolpidem tartrate. The
Zolpimist Oral Spray unit contains 60 metered sprays
and provides the flexibility of administering either
a 5 or 10 mg dose of the zolpidem active ingredient.
As with most prescription hypnotic agents, Zolpimist
Oral Spray is federally classified as a CIV controlled
substance. Zolpimist is only available by prescription.
Hi-Tech President and CEO David Seltzer indicated that
"Zolpimist is a significant addition to ECR, our
branded products subsidiary, and reflects our continuing
commitment to build this segment of our business through
the marketing of widely used, innovative products."
Steven Ratoff, the CEO of Novadel Pharma Inc., the developer
of Zolpimist Oral Spray, said "we are pleased to
have Zolpimist available in the U. S. marketplace."
Over 79 million prescriptions are written annually in
the US for sleep aid products.

Hi-Tech
Pharmacal Announces Agreement to
Commercialize Oral Spray Sleep Aid |

Hi-Tech Pharmacal announced the consummation of an exclusive
agreement between ECR Pharmaceuticals, a wholly owned
subsidiary of Hi-Tech, and NovaDel Pharma, a drug development
company, to commercialize zolpidem tartrate oral spray.
The product, a novel oral spray formulation indicated
for the short-term treatment of insomnia, will be marketed
as Zolpimist® by ECR's sales force during the first
half of 2010.
